Effective date: 14 April 2025

These Terms of Business apply to all services provided by Maddie McGowan, Freelance Voice Actor, unless otherwise agreed in writing. By commissioning services from Maddie McGowan, you (the hiring company or client) agree to the following terms:

1. Services Offered

Maddie provides professional voiceover services, including (but not limited to) commercial, narration, corporate, and promotional voice work. All recordings are produced to a high standard, either from Maddie's professional home studio or a third-party studio as agreed.

2. Booking & Availability

Bookings are confirmed once all project details, including script, intended usage, platforms, delivery deadlines, and geographic reach, are agreed upon in writing (typically via email). Maddie will confirm availability and allocate studio time accordingly.

3. Usage & Licensing

All prices quoted are on a pro-rata basis.

Fees are based on the usage parameters specified at the time of booking, including platform(s), territory, duration, and product or service scope. A non-transferable usage licence is granted only upon full payment of the invoice.

License Details:

• Unless otherwise stated, usage is granted for a period of one (1) year from the date of delivery. Continued use beyond this period requires a renewal payment equal to the original usage fee.

• The works may only be used for the specific product or service described in the project brief or invoice line-items. Usage in future or alternate products or services is not permitted without prior written agreement.

• The works may only be used in the territory specified. If no location is specified, usage is limited to the client’s home country.

• The works must not be used, adapted, or integrated into any text-to-speech, synthetic voice, or AI voice models, on any platform or medium now or in the future.

• The hiring company may not transfer the works or this licence to any third party (including in the case of a company sale or merger) without the express written consent of the author.

All copyrights, intellectual property rights, broadcast rights, and any other rights associated with Maddie McGowan and her performances remain with the author. No rights are transferred beyond the licence granted above.

4. Fees & Payment

• Fees are quoted per project and are exclusive of VAT unless otherwise stated.

• Invoices are issued upon delivery and are payable within 30 days, unless otherwise agreed.

• Late payments may incur interest and administrative fees in accordance with the UK’s Late Payment of Commercial Debts Act.

5. Revisions, Retakes & Re-recordings

• One round of minor revisions (e.g., technical errors or misreads) is included free of charge.

• Re-recordings required due to a fault by the author will be corrected at no cost.

• Subjective retakes requested by the client will be approached on a goodwill and best-endeavours basis.

• Additional script or direction changes after recording, or any new material requested by the client, will be invoiced separately by agreement.

6. Recording & Delivery

• Recordings are delivered as high-quality WAV or MP3 files, unless otherwise agreed.

• Delivery is via email, download link, or another method agreed in advance.

• Standard turnaround is 24–72 hours, subject to project scope and scheduling.

7. Studio Sessions & Directed Sessions

• Directed sessions can be conducted via Source Connect, Zoom, or similar platforms by prior arrangement.

• In-person sessions at third-party studios can be accommodated as agreed and may incur additional fees for travel and/or studio hire.

8. Cancellation

• Bookings cancelled with less than 24 hours' notice may be subject to a cancellation fee of up to 50% of the agreed fee, particularly where studio time has been scheduled.

9. Intellectual Property

All rights in the voice recording, including copyright, performance rights, and all other associated rights, remain with Maddie McGowan until full payment has been received.

Upon payment, a limited licence is granted as described in Section 3, but no ownership of the recording or underlying rights is transferred.

Important: The works may never be used in connection with text-to-speech, AI voice training, or synthetic voice systems, in any form or on any platform.

10. Confidentiality

All project materials, communications, and recordings are treated as strictly confidential, unless written permission is provided by both parties to disclose.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the English courts.
